Marius Chelaru – speaker in the debate on contractual mechanisms relating to the transfer of shares

Marius Chelaru– Managing Associate – will take part today, at 7.30 pm, in the online debate Transfer of shares without a general meeting of shareholders? where he will address a number of practical issues concerning the transfer of shares and the effectiveness of the contractual mechanisms governing it. The discussion will focus, amongst other things, on the option agreement and its limitations, drag-along, tag-along and call option mechanisms, the relationship between the articles of association and the shareholders’ agreement, as well as the role of the advance mandate. 

A key question will concern the remedies available when the obligated shareholder refuses the transfer: can the beneficiary obtain specific performance and the actual transfer of the shares, or are they limited to compensation?
